General Terms and Conditions

Introductory Provisions

These general terms and delivery conditions (hereinafter referred to as the “Terms”) apply to all sales and deliveries of products and services by MERETECH s.r.o., registered at Nad Školkou 237, 468 04 Jablonec nad Nisou, Company ID: 03194680 (hereinafter referred to as “MERETECH”), unless otherwise agreed in writing between MERETECH and the customer. Any different terms of the buyer have no legal effect unless expressly approved by MERETECH.

Order Acceptance

Orders are considered binding only after written confirmation by MERETECH. Changes or cancellations of an order after confirmation are possible only upon written agreement between both parties.

Product Information

The parameters and technical specifications stated in catalogs, offers, or other materials are for informational purposes only and may vary. These details serve as reference data and cannot be considered guaranteed product characteristics. MERETECH reserves the right to make design or construction changes that do not affect product functionality.

Prices

All prices stated in offers are valid under EXW Jablonec nad Nisou conditions (Incoterms 2020) and do not include VAT, fees, or other costs. MERETECH reserves the right to adjust prices in case of changes in tax regulations, exchange rates, fees, or product improvements.

Payment Terms

Payment for goods must be made in accordance with the terms specified in the order confirmation. Any delay in payment may be subject to a late payment penalty of 0.05% of the outstanding amount per day of delay. The buyer is not entitled to offset their claims against MERETECH without its written consent.

Delivery Conditions

MERETECH delivers goods within the approximate timeframes specified in the order confirmation. Any delay in delivery does not entitle the buyer to withdraw from the contract or claim damages. The risk and responsibility for the goods pass to the buyer at the moment of receipt.

Ownership Rights

Delivered products remain the property of MERETECH until full payment of the purchase price.

Warranty Terms

MERETECH provides a warranty on goods for 24/12 months from the date of receipt (depending on the type of goods). This warranty does not apply to heating elements. The warranty does not cover defects caused by improper repairs, use of non-original parts, normal wear and tear, or improper handling.

Intellectual Property and Trademarks

All rights to products, designs, and trademarks remain the exclusive property of MERETECH or its suppliers. The use of logos, graphic elements, or other identification features is not permitted without prior written consent.

Liability

MERETECH is not liable for indirect, consequential, or incidental damages arising from the use of products unless caused by intentional misconduct or gross negligence.

Legal Jurisdiction

The relationships between MERETECH and buyers are governed by the legal order of the Czech Republic. The competent jurisdiction is the registered office of MERETECH in Jablonec nad Nisou.

Final Provisions

Any changes to these Terms must be agreed upon in writing by both parties. These Terms become effective on the date of their publication on the MERETECH website.
